Schedule B — Referral Partner / Preferred Vendor Terms

These Referral Partner Terms are incorporated by reference into the SiteBid Pro Services Agreement. By joining as a Referral Partner or Preferred Vendor, you agree to these additional terms.

1. Purpose. Establishes a Preferred Vendor relationship where Vendor refers leaseholders exclusively to SiteBid, and SiteBid may refer clients to Vendor.
2. Benefits. Vendor receives complimentary Premium Account, priority support, targeted leads (up to 200/month), and marketing visibility within SiteBid.
3. Referral Obligations.
   • Vendor must submit accurate, qualified referrals only via SiteBid’s system.
   • SiteBid assigns tracking IDs to validate referrals.
   • Both parties must comply with data privacy laws (CCPA/GDPR).
4. Exclusivity. Vendor must refer leaseholders exclusively to SiteBid. Breach may result in loss of Preferred Status, benefits, and termination.
5. Compensation.
   • Vendor → SiteBid: 30% of SiteBid’s commission on closed deals.
   • SiteBid → Vendor: 30% of Vendor’s gross revenue from referred clients.
   • Fees paid within 15 business days; installment deals paid proportionally.
6. Term. One year, auto-renewing unless terminated. SiteBid may terminate immediately for breach. Benefits cease upon termination.
7. Liability. Each party indemnifies the other for its own misrepresentations/breaches. Liability is capped at referral fees paid in the prior 12 months (or $5,000 if none).
